License Agreement
This is a legal agreement between you, the end user, and SYDNEY URSHAN MUSIC.
PLEASE READ THIS DOCUMENT CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE (REGARDLESS IF YOU HAVE REGISTERED THE SOFTWARE OR NOT), YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE AND PROMPTLY DESTROY THE ENTIRE PACKAGE (with all accompanying items).
THE SOFTWARE AND ACCOMPANYING ELECTRONIC AND WRITTEN MATERIALS (INCLUDING INSTRUCTIONS FOR USE) ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. FURTHER SYDNEY URSHAN MUSIC DOES NOT WARRANT, OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF THE USE, OF THE SOFTWARE OR WRITTEN MATERIALS IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE.
SYDNEY URSHAN MUSIC warrants that the disks on which the InterScript™ software is recorded to be free from defects in material and workmanship for a period of 90 days from the date of original purchase. In the case of a valid warranty claim, SYDNEY URSHAN MUSIC will, at its option, repair or replace the product without charge. This warranty is not transferable and applies only to the original purchaser of the product. This warranty is void if the product serial number has been removed, or if the software has been damaged by misuse, modification or unauthorized repair.
THE ABOVE WARRANTY IS IN LIEU OF ALL WARRANTIES, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED. SYDNEY URSHAN MUSIC MAKES NO OTHER WARRANTY, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THIS PRODUCT, ITS QUALITY, PERFORMANCE, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. PURCHASER'S SOLE AND EXCLUSIVE REMEDY UNDER THIS WARRANTY SHALL BE REPAIR OR REPLACEMENT AS SPECIFIED HEREIN. IN NO EVENT WILL SYDNEY URSHAN MUSIC BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY DEFECT IN THE KeyDisk TERMINATOR™ SOFTWARE OR DOCUMENTATION, INCLUDING DAMAGE TO PROPERTY AND, TO THE EXTENT PERMITTED BY LAW, DAMAGE FOR PERSONAL INJURY, EVEN IF SYDNEY URSHAN MUSIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some states do not allow the exclusion or limitation of implied warranties or of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
SYDNEY URSHAN MUSIC's entire liability and your exclusive remedy as to the disk and the SOFTWARE shall be, at SYDNEY URSHAN MUSIC's option, either (a) return of the purchase price or (b) replacement of any defective disk.
LICENSE AGREEMENT
Carefully read all the terms and conditions of this license agreement prior to using this package. Use of all or any portion of this package indicates your agreement to the following terms and conditions.
SYDNEY URSHAN MUSIC grants you, the purchaser, a non-exclusive license to use the software in this package (hereinafter referred to as "Software"), under the terms and conditions stated in this agreement.
You may:
1. use one copy of the Software on a single computer at a single location.
2. make one (1) backup copy of the Software for safety backup or archival purposes.
You may not:
1. make copies of the User Manual or the Software in whole or in part except as expressly provided for in this agreement.
2. make alterations or modifications to the Software (or any copy) or disassemble or decompile the Software (or any copy), or otherwise attempt to discover the source code of the Software.
3. sublicense, lease, lend, rent or grant other rights in all or any portion of the Software (or any copy) to others.
4. make verbal or media translations of the user manual.
5. make telecommunication data transmissions of the Software.
U.S. GOVERNMENT RESTRICTED RIGHTS
The SOFTWARE and documentation is provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subdivision (b)(3)(ii) of The Rights in Technical Data and Computer Software clause at 252.227-7013. Manufacturer is SYDNEY URSHAN MUSIC, 1680 North Vine Street, Suite 1101, Hollywood, CA 90028-8837.
MISCELLANEOUS
This Agreement shall be governed by the laws of the State of California. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.
TERM
This agreement is effective until terminated. You may terminate it at any time by destroying the Software and User Manual together with all copies in any form. It will also terminate if you fail to comply with any term or condition in this agreement.
